This document governs your use of the Ntros mobile application ("Application") and the related Ntros website at ntros.ai (the "Website"), together a professional-networking platform provided by Ntros, Inc. ("we," "our" or "us"). By downloading, accessing or using the Application or the Website, you agree to these Terms and Conditions ("Terms"). Please read this document carefully.

These Terms apply to all users of the Application and the Website. Some provisions may grant different rights or impose different obligations on users that qualify as consumers under applicable law. Where relevant, those differences are stated explicitly.

You may use the Application without registering, but certain features (such as creating a profile, connecting with other professionals or exchanging messages) require an account. When registering, you must provide complete, accurate and current information. You are responsible for safeguarding your login credentials and for all activities performed through your account. If you believe your account has been compromised, please notify us immediately using the contact details above.

You may close your account at any time by contacting us. We reserve the right to suspend or delete an account without notice if we determine that it violates these Terms or applicable law. Suspension or deletion of an account does not relieve you of any payment obligations (if any) incurred prior to the effective date of suspension or deletion.

Unless otherwise noted, we or our licensors own all content published via the Application, including trademarks, logos, text, images and software. You may not reproduce, modify or distribute such content without our express permission. If you believe your rights are being infringed, please contact us using the details above. We reserve the right to remove any content at our sole discretion.

The Application allows you to create profiles, post information and communicate with other users. You remain the owner of any content you submit ("User Content"), but by submitting User Content you grant us a non-exclusive, worldwide, royalty-free licence to use, store, reproduce, adapt, publish and display that content for the purpose of operating and improving the Application. We do not claim ownership of your User Content and will not sell it to third parties. You are responsible for ensuring that your User Content does not infringe any third-party rights or violate any laws. We reserve the right to remove User Content at our discretion.

The Application may only be used within the scope set forth in these Terms and in compliance with applicable law. You must not use the Application in ways that:

We reserve the right to terminate or restrict your access to the Application and to report misconduct to appropriate authorities if you are involved in or suspected of prohibited behavior.

Subject to your compliance with these Terms, we grant you a revocable, non-exclusive and non-transferable license to download and use the Application on your personal devices for its intended purpose. This licence does not include any right to access or modify the source code. You may use the Application on up to two devices at any time. We may release updates and improvements; to continue using the Application you may be required to install such updates. If the Application is made available through third-party app stores, those stores' terms may also apply.

The core networking features of Ntros are offered free of charge. We may, however, offer premium features or services that require payment (e.g., enhanced visibility, advanced analytics or event-organising tools). When you purchase such services, the applicable fees, billing cycles and cancellation policies will be presented to you. Purchases made via third-party app stores (such as Apple App Store or Google Play) are subject to those stores' terms and conditions. Subscription services, if offered, will automatically renew for successive periods unless you cancel at least 24 hours before the end of the current period. You can manage or cancel subscriptions through your app-store settings. Termination of a subscription may be requested at any time by contacting us.

We strive to provide the Application in a secure and reliable manner, but you use it at your own risk. To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential damages arising out of or related to your use of the Application. Our total liability will not exceed the amount you have paid us in the preceding 12 months (if any). You agree to indemnify and hold us harmless from any claims arising out of your breach of these Terms or violation of any law or third-party rights.

The Application is provided "as is" and "as available." We make no representations or warranties as to its suitability for your purposes, its continuous availability or the accuracy of any information provided through it. We do not warrant that the Application will be error-free or free of viruses or other harmful components. In some jurisdictions, certain limitations or exclusions may not apply; in such cases, your statutory rights remain unaffected.

For information on how we collect, use and share personal data, please refer to our separate Privacy Policy, which forms part of these Terms. By using the Application or the Website, you consent to our privacy practices.

We operate an SMS messaging program known as "Ntros Alerts." This Section 8 governs your participation in that program. By providing your mobile phone number and checking the SMS opt-in box on ntros.ai, you agree to receive recurring text messages from us at the number you provided, sent via an automated system. Consent to receive SMS messages is not a condition of any purchase.

Ntros Alerts sends transactional and promotional text messages related to the Ntros home services referral marketplace. Messages may include account confirmations and security notices, service-provider intros and referral notifications, marketplace updates relevant to your activity, and occasional promotional offers and program announcements.

Message frequency varies, typically up to four (4) messages per month. Frequency may increase based on your activity and ongoing referrals.

Message and data rates may apply. We do not charge a fee for SMS messages, but your wireless carrier's standard messaging and data rates will apply.

The program is available on most major United States carriers, including AT&T, Verizon and T-Mobile. Carriers are not liable for delayed or undelivered messages.

You may opt out of the program at any time by replying STOP, END, CANCEL, UNSUBSCRIBE or QUIT to any message you receive. You will receive a single confirmation message, after which no further messages will be sent. To re-subscribe, reply START.

Reply HELP or INFO to any message to receive help. For additional support, contact support@ntros.ai.

Use of Ntros Alerts is governed by our Privacy Policy at ntros.ai/privacypolicy, which states that phone numbers and SMS opt-in consent will not be shared with third parties or affiliates for marketing or promotional purposes.

We may modify or terminate the SMS program at any time. Material changes will be communicated via SMS or email to active subscribers prior to the change taking effect.

We may modify these Terms at any time. Changes will take effect upon posting the updated Terms within the Application or on our website. Your continued use of the Application after changes have been posted constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Application.

These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Application shall be resolved in the courts located in Summit County, Ohio, unless otherwise required by applicable consumer-protection laws. If you are a consumer residing in the European Union or certain other jurisdictions, you may have the right to bring proceedings in your home country. We and you waive any right to a jury trial or to participate in a class action.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

We reserve the right to interrupt the Application for maintenance or updates and may suspend or discontinue the Application subject to applicable law. You may not reproduce, duplicate or exploit any part of the Application without our express written permission.
